If anybody has our time share by law, please contact me asap.  Our
attorney wants to have it.  Thank you!

Our attorney had talked with the Crescendo's attorney, Mr. Gary
Sole.
They are willing to negoiate with us and term and conditions will be
sent to us within couple weeks they said.  However, we cannot really
trust them until we have something in written.  So i have asked our
attoenry to prepare for the worst outcome.

This was a suggestion from our attorney to those owners who had
signed
the letter from Gary Sole or Heidi Han.  If you have singed the
letter
from them, send them a letter saying that you want to cancel your
singed letter.  Becuase this letter will not help us negotiationg
with
them.  So send them a certified letter and keep a copy for your
record.

This is what will happen in the near future.

1. We will receive an offer from the Cresendo mgt.  As their letter
says to owners, they will probably offer us 3-4 units of time share
building.

2. The board will negotiate and make a decision on their offer.  The
board will discuss with the State time share board before we accept
their offer.

3. Every owner will be notfied from the board about the result of
the
decision.

Sorry it took me so long to get back to posting here.  No, I'm not a
lawyer or from law enforcement.  The following information was
learned BEFORE reading Phil Lee's post #28:

I spoke with Ahmed Kassoo (Compliance Investigator) today before 2 pm
CST; this is what I was told:

1.  The sale has been called off because the 3 yrs of unpd taxes
(causing the sale) were paid.  However, the taxes for 2002 – 2005 are
still due: $88996.38 on phase 2 and $84224.32 on phase 1 (if paid by
10/31/06).
2.  The developer, "Harry Kim," had a $14 million judgment against
him for monies owed Crescendo Management.  He relinquished the unsold
timeshares to Crescendo in settlement of this debt.  This is how
Crescendo Management became such a big player in our lives. (btw, the
problem stems from the fact that Mr. Kim began phase 2 (6 units)
before completing phase 1 (5 units), per Ahmed).
3.  Not sure how we owners will end up when all this is over.
Presently, the attorney for Crescendo is working with the attorney
Phil Lee has hired (Derek?).  I suppose we will be receiving a new,
better defined agreement from Crescendo on our new timeshare
specifics (how many units, which units, etc).
4.  NorthShore Management did not supply the Board with 3 years of
financials because they were not being paid.
5.  Apparently there is only about $43,000 of our timeshare money in
escrow—TOTAL.  This is in an escrow account for taxes.  Phil, is our
atty controlling this a/c now?
6.  Once this is settled and we know where we're at, we will have to
put our collective heads together to have this timeshare managed and
funded properly (obviously not the case thus far).

Hopefully we can start from here and make something much better for
us all.

And now....I have more to digest after Phil's post #28.

Hello, owners!
This is Phil Lee.  The acution has been cancelled by Cresecndo mgt.
That means someone is trying to negoitate with us, instead of selling
and repurchaing the building thourgh the auctions.

I expect a call from them to negoiate and also i have an estimate $1.5
million offer to purchase entire time share building from another
investor as well.  That means we have two parites to negoitate.

At this time, we need to gather more resources and act as a group, so
if you know any owners who are still not in contact with us, please ask
them to contact Dr. Cho as soon as possible.

I will give you an update after i talk with our attorney.

Dear owners,

I do not know exactly what to do, I will ask our attorney and let you
know asap how you can cancel that letter you signed to Crescendo.
At the meanwhile, just send them the certified letter saying you will
cancel the form you sent them.

Also it is time for us to gather all the resources to protect our
investment.
After we securely protect as much our investment as possible, we will
have a time to finger point each other.
I created this message board to share as much as information
possible.  When you post your message, please write accurate
information only.  A lot of owners will get confused by incorrect
information.

I talked with State time share board and they are in contact with
both our attorney and Crescendo¡¯s attorney to make this deal go
through.
If Crescendo can securely transfer the interest of 4 units at least
to us, I will be more than happy.
However, there is a proper legal steps and procedures we and
Crescendo have to go through.

And I have complained to the state board and they did agree with how
Crescendo had approached individual owners, instead of notifying our
attorney or the association first.
They also told me that they did tell Crescendo to contact the
association and our attorney first, however they failed to do so.  So
please be careful when you sign any documents from now on.

My wife, Carol, and I (Sam) have been owners since 1994(?, I think).
With the tight timetable and the impending loss of the entire
investment, what options are really available other than accepting the
Crescendo offer and hoping against hope that they deliver on their
promises?  If the tax sale proceeds, there is no guarantee whatsoever
that any opportunity will exist to save our rights.  Why do I feel
like a lamb led to slaughter? Caveat emptor, indeed.

Phil, how do the Bella Vista timeshare owners even know about this
message board?  I only found out about it on 9/08---and indirectly.  I
received the letter from Dong Won Cho (with an authorization
solicitation form) that included Dong's e-mail address.  When I then e-
mailed Dong with an inquiry, he included this website in his e-mailed
response.

Seems like this website address should have been included with Dong's
letter/authorization form---which I assume DID get mailed to all the
owners??

Thank you, Phil, for this great idea of setting up this quick, free,
forum to put our collective heads together on this timeshare problem.
However, now I'm worried that not many of our owners even know about
this site???  Please advise.

The letter from the Heidi Han-Don't sign


One main reason is all the sweat deal she tells you are not under
the contract.  There are two separate letters, one she tells you
what they are going to do for you and the other letter says just
give up the interest for them.  So basically if you sign, you will
give them all the interest of yours without any promise.  And the
signature page does not have any signature from the Heidi Han.
Normally if you want to call this letter as contract, there should
be two signature places, one from the owners and the other from
Heidi Han.  There are so many suspicious stuff on the letter, if you
have signed them, please send the certified letter to call off the
signature asap.







Good thing:  They are aware of importance of owners.


The reason they are contacting the owners are they know that they
cannot do anything without our signature.  Even the auction occurs,
there are long steps they have to go through for them to take over
this building.  We just do not lose everything after the auction, so
be patient and work as a group.  But if you sign the letter to them
now, that means " You can have everything, Heidi!" It is good that
they are aware of importance of owners.  And when there is problem
after you sign it, you are on your own.





We assume another delay on the auction and they want our Time share
building.


Why are they contacting all the owners couple days before the
delayed auction?  Because it might be cheaper way for them to take
over the building than in the auction.

As I have said earlier, you will not get what they say on the letter
because there are so many problems on the letter that Heidi sent
you.



Do not pay too much attention on auction date.


There are so many legal steps and don't be frustrated by the date.





Our attorney will be in contact with Heidi's attorney.


We will inform you as soon as I have more info.

Dear fellow owners/ Mr. Lee,

     It is now Monday morning Oct. 2.  I have spoken with several
timeshare owners and am still in a quandry about the next best step
in protecting any interest I have at Bella Vista.

I certainly am leary of Crescendo and their offer.  Whenever it
sounds too good to be true, it usually is.  It is so openended that I
don't feel comfortable signing away my rights to a group that hasn't
exactly been trustworthy.

So, that leaves us with what to do?  Mr. Lee, I would think you would
have the most insight into what our next step should be.  Hopefully,
you will share your lawyer's take on the Crescendo proposal within
the next day or two.  If we do not hear anything from your camp I
have a feeling some of us may panic and sign the Crescendo proposal
for fear of losing it all.

Also, Mr. Lee, if you could give us a little more information on the
amount of money that was transferred to the lawyer's escrow account.
Can that money be touched by anyone besides the timeshare owners?

Time is of the essence at this point, so  any information would be
most appreciated.

The one thing I totally agree with is that the BOARD should be
recompensed for their duties. It is not an easy job. I pray for the

I agree with your assessment that we are shafted. And I am as
frustrated as you are. We don't deserve this frustration and
potential
of loss of our investment and pleasure. But I decided that I am not
going down without a fight.

Your assessment about what will happen after tax sale is about right.

Here is the facts that I know.

The original developer became insolvent. The original developer gave
the unsold share of the interest to Crescendo, believing that
Crescendo
will make our timeshare solvent. But the Crescendo did not even claim
the titles and showed a judge the gift letter and put an judgement
against our property. This way they legally don't have to pay tax and
maintenance fees.( but nevertheless they were using two units under
the
tacit negligence from our management company, Northstar Management
Company). Our board president, Mr. Lee, according to him, was trying,
until this January, to negotiate with Crescendo to give us 4 units.
But
was unsuccessful. Out of frustration with Crescedo and Northstar, and
lack of support from other owners, he resigned from the presidency.
When I received the tax sale letter, I asked Mr. Lee to step up to
the
plate again. He agreed, if I organize support from the owners, which
I
did.
The market value of our property is about 3 million. But nobody knows
what it will bring in at the auction. And there are a lot of
investors
out there to bid for the property for a quick profit, Crescendo
included. It reminds me a picture of African vultures circling
around a
wounded animal gasping for last air. Now we hear from Crescendo a
collectivization offer. So they can have it without auction. But the
trust is issue.


There are a lot of blames to distribute for our plight. One thing
that I know for sure is greed.

Phil hired a lawyer and I am waiting what he has to say.

I have one more fact to share, but I will post later to give our
lawyer
flexibility in devising his strategy.

By the way, the Board member is a volunteer job and not getting paid
for their time or expenses. The management fees go to NorthStar
management company, who failed to submit financial report to the
Board president, Mr. Lee, for last three years. Mr. Lee told me that
he wind up spending $5,000 of his own money before he decided to
resign. If we survive this crisis, I propose that we, the owners,
need to change the association bylaw to pay for the board member¡¯s
expense to conduct business.

Please clarify if any of this is not accurate.

Cresendo is asking for a quit claim on the deed we currently have but
the letter does state that they will be rewriting a deed for the 4
properties assigned to the association. The rewriting of the deed is
determined by the number of owners who participate, but know that we
might still be out voted because they still own 400 units that they
can vote on. We are only about 150 all together.

What these people have done from the BOARD to the DEVELOPER to current
management (CRESENDO) is shameful and we are all in pickle, I just
hope that Cresendo will do the right thing and provide the means for
to keep what is  rightfully ours.

Cresendo will not allow the property to go to a tax sale because that
will be STUPID on their part.  $400,000 is not much money for some
investors and at a value of a minimum of $250,000 per unit (11 units);
do the math, it will start a bidding war among some investors if it
goes to a tax sale. I think a bidding war is what Mr. Lee wants,and he
might have a very good reason for it but he hasn't been communicating
with us for 2 yrs prior to this time and I don't trust him or Cresendo.

What will probably happen if we do not sign off to Cresendo is that we
can then split the proceeds as an association, but the amount to be
divided will be determined by the amount received at the sale at
auction time (amount not guaranteed)... after the state and any other
obligations have been paid.  All the best to everyone, WE GOT SHAFTED.

I have met with our new attorney Derek and started moving the funds
from all our accounts to the attorney's escrow accounts.  Mr. Cho and
I , the board members had authorized to move the balance, because the
Norshore mgt failed to give us last three years of financial to the
board.  So the board decided to secure all the remaining funds in the
attorney's escrow accounts.  There are so many issues that we have to
clear with Norshore and Cresendo mgt.

As you were informed, the auction date was postponded til October 6th
and we have decided to file a leagl action against Crescendo Mgt.
Since we are preparing a legal action, I cannot write too much about
what we are planning to do.  But one thing i can tell you now is that
we are trying to protect our investment as much as possible.

One thing i would like to recommand is we need to act as a group and
not as an indiviual.  Please contact Dr. Cho or me if you have any
questions.  Also if you receive any documents, please discuss with us
before you sign any kinds of paper works.

Some of us received proposal from Crescento and Heidi Han's
collectivization proposal. I advise you all not to sign it and give our
property right to Crescento without legal advise from the lawyer Phil
hired, or your own private lawyer. First, we can not trust the
Crescento and their lawyer to look after our property and manage them
propery. For example, they have no title to our units and paid no tax
and maintenace fees. Nevertheless, they are using two of our units now.
We requested the Lake County Sheriff's office to investigate their
trespassing.

I, personally, would like to have our lawyer to draw up an
collectivization agreement and do the negotiation. Otherwise, we could
possibly wind up exactly the same way as we are now again.

I also filed a complaint to the AG's office. They are not of much
help either. I guess our next stop is the Office of Inspector
General. If someone from Florida State are owners, I urge you to
contact your state representative. While Phil is doing his legal
thing, I think we also need the State to help us. But so far no
agency is stepping forward.

Dear Mr. Cho:

As discussed in our August 31, 2006 telephone conversation, your
complaint has been assigned to me for investigation.

The following is a summary of our conversation and confirms the
issues we agreed that I will be addressing during this investigation:

1) Managing entity  failed to operate and manage the timeshare
plan:

In your complaint you state that you have not been able to use or
exchange your timeshare unit during your use period  as no one is
managing and operating the timeshare plan.

The timeshare plan was operational until the end of 2005.  At the
beginning of 2006, Mr. Phillips Lee, association president, made a
decision not to collect the 2006 annual assessment as the timeshare
project was going to be terminated by Crescendo Management.  As a
result, the timeshare plan has not been in operation since January
2006.

2)    Managing entity failed to pay the real estate tax to the
county:

In your complaint you state that the developer or the managing
entity did not pay the real estate tax to the county resulting in
tax liens against the timeshare owners.

As you are aware Mr. Harry Kim, developer,  is no longer actively
involved in the  operation of the timeshare plan.  I have discussed
the current situation with Mr.  Lee;   he has advised me that he is
in communication with the county officials regarding the
disbursement of funds after the sale on September 12, 2006. You may

the post-sale procedure with respect to the distribution of funds
from the net proceeds of the sale:
